1. Overview
These Terms of Service (“Terms”) govern your access to and use of the websites, online stores, mobile applications, connected products, software, cloud features, customer support, and related services operated by Kiwibit Inc. (“Kiwibit,” “we,” “us,” or “our”). Together, these are referred to as the “Services.”

By visiting one of our websites, creating an account, placing an order, using a Kiwibit product, or otherwise accessing the Services, you agree to these Terms and the policies incorporated into them by reference.
If you do not agree to these Terms, you must not access or use the Services.
2. Eligibility
You must be at least the age of majority in your place of residence to place an order or create an account.
If you allow a minor to use a Kiwibit product or Service, you are responsible for supervising that use and ensuring compliance with these Terms.
You may not use the Services if applicable law prohibits you from receiving or using them.
3. Accounts and Account Security
Some features may require a Kiwibit account. You agree to provide accurate, complete, and current information and to update it when necessary.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You must notify us promptly at support@kiwibit.com if you believe your account or device has been accessed without authorization.
We may suspend or restrict an account when reasonably necessary to protect users, investigate suspected fraud or misuse, maintain security, or comply with applicable law.
4. Product Information
We make reasonable efforts to display product descriptions, specifications, compatibility information, colors, images, and prices accurately.
Actual product colors and appearance may vary because of screen settings, lighting, manufacturing updates, or other factors. Packaging, components, software interfaces, and product features may be updated where the change does not materially reduce the product’s essential functionality.
You are responsible for reviewing product specifications and compatibility requirements before placing an order.
We may correct typographical errors, inaccuracies, or omissions and update product information where reasonably necessary. Nothing in this section limits your rights when a product is faulty, materially misdescribed, or otherwise does not conform to applicable law.
5. Prices, Taxes, and Charges
Prices are shown in the currency displayed on the applicable online store. Prices may change without notice, but a change will not affect an order we have already accepted.
Applicable charges will be disclosed before you complete checkout. We will not add mandatory non-governmental charges that were not disclosed as part of the purchase price.
For orders shipped to Canada and the United Kingdom, applicable customs duties, import taxes, VAT, and GST are included in the product price. Customers will not be charged additional duties or taxes upon delivery.
If a pricing or promotional error is obvious and could reasonably have been recognized as an error, we may contact you to confirm the correct price or cancel the affected order and issue a refund.
6. Orders and Contract Formation
Submitting an order is an offer to purchase the products listed in your order.
An order confirmation acknowledges that we received your order but does not necessarily mean that we have accepted it. Unless applicable law requires otherwise, an order is accepted when we send a shipping confirmation or otherwise expressly confirm acceptance.
We may reject or cancel an order before acceptance for reasons including product unavailability, pricing or product information errors, payment authorization failure, suspected fraud or policy abuse, shipping restrictions, purchase quantity or resale concerns, or legal requirements.
If we cancel an order after payment has been collected, we will refund the applicable amount to the original payment method.
7. Payment
You agree to provide accurate payment and billing information and represent that you are authorized to use the selected payment method.
Payments may be processed by Shopify, payment networks, banks, or other third-party payment providers. Their separate terms and privacy practices may apply.
We may delay order processing while a payment, identity, address, or fraud-prevention review is completed.
8. Order Cancellation and Changes
You may request to cancel an order by emailing support@kiwibit.com within 3 hours of placing it.
Orders can only be canceled before they have been processed or shipped. Submitting a request within 3 hours does not guarantee cancellation if processing has already begun.
Address changes may be possible before shipment, but we cannot guarantee that a requested change will be completed after the order enters processing.
Once an order has shipped, it cannot be canceled or redirected. This section does not limit any cancellation, return, refund, or withdrawal right provided by applicable consumer law.
9. Shipping and Delivery
Shipping availability, processing times, delivery estimates, tracking, restricted destinations, refused packages, and address requirements are governed by our Shipping Policy, which forms part of these Terms.
We offer free standard shipping on orders placed through our official online stores. Expedited shipping is available for an additional fee and may be selected at checkout.
Delivery dates are estimates unless we expressly agree to a guaranteed date. If an order is materially delayed, we will provide the remedies required by applicable law.
10. Returns and Refunds
Returns, refunds, return eligibility, damaged or missing items, incorrect products, return shipping costs, inspections, and refund processing are governed by our Return & Refund Policy.
Eligible return requests generally must be submitted within 30 days of delivery, based on the delivery date shown in the tracking information.
We do not normally charge a restocking fee for eligible returns. Returns and claims may be inspected and verified. We may reject or adjust a request where permitted by law if there is evidence of fraud, product tampering, policy abuse, missing core components, return of an incorrect item, or deliberate misrepresentation.
Our voluntary return policy does not replace or restrict any non-waivable rights available under applicable consumer law.
11. Limited Warranty
Eligible Kiwibit products are covered by our published Warranty Policy.
The Warranty Policy explains the warranty period, eligible purchase channels, covered defects, exclusions, claim requirements, and available remedies.
Any limitation in the Warranty Policy applies only to the extent permitted by law. Nothing in these Terms or the Warranty Policy excludes or restricts a statutory guarantee, implied warranty, or consumer remedy that cannot lawfully be excluded or restricted.
12. Promotions, Discounts, and Gifts
Promotions, discount codes, bundles, loyalty benefits, gifts, and other offers may be subject to additional terms displayed with the offer.
Unless otherwise stated, promotions cannot be combined, discounts have no cash value, discounts do not apply retroactively, and free or promotional items are not eligible for a cash refund.
An offer may be limited by product, customer, market, quantity, or time. Returns may affect eligibility for a gift, bundle price, or promotional benefit.
We may cancel or correct a promotion affected by fraud, abuse, technical error, or an obvious pricing mistake, subject to applicable law.
13. Connected Products, App, and Software
Some Kiwibit products rely on a mobile app, internet connection, cloud service, compatible device, account, firmware, or third-party platform.
We grant you a limited, personal, non-exclusive, non-transferable, and revocable license to use Kiwibit software solely with authorized Kiwibit products and Services for personal, lawful purposes.
You may not copy, sell, sublicense, rent, or commercially exploit the software; reverse engineer or attempt to extract source code except where expressly permitted by law; bypass security or access controls; introduce malware; interfere with the Services; or use unauthorized modifications that compromise safety, privacy, security, or service integrity.
We may provide security patches, firmware updates, feature updates, or compatibility changes. Some updates may be installed automatically where permitted by your settings and applicable law.
14. Responsible Use of Cameras and Recording Features
You are responsible for installing and using Kiwibit cameras, microphones, recording features, and connected products lawfully.
Applicable law may require notice, consent, signage, restrictions on audio recording, limits on product placement, or additional privacy safeguards.
You must not use a Kiwibit product to conduct unlawful surveillance; record a person where recording is prohibited; violate privacy, publicity, or data protection rights; harass, threaten, stalk, discriminate against, or harm another person; monitor an area where a person reasonably expects privacy; or collect or disclose personal information without a lawful basis.
Kiwibit does not determine whether a particular installation or use is lawful. You are responsible for obtaining any permission required for your use.
15. User Content and Feedback
The Services may allow you to upload, store, transmit, or share photos, videos, audio, text, reviews, or other content (“User Content”).
You retain ownership of your User Content. You grant Kiwibit a limited, worldwide, non-exclusive license to host, process, reproduce, transmit, and display User Content only as reasonably necessary to provide, maintain, secure, and improve the Services or as otherwise authorized by you.
If you submit a public review, testimonial, suggestion, or other feedback, you grant us permission to use, reproduce, and display it for business and promotional purposes, subject to applicable law and our Privacy Policy.
You represent that you have the rights and permissions necessary to submit your User Content and that it does not violate applicable law or another person’s rights.
16. Prohibited Uses
You may not use the Services:
· For an unlawful, fraudulent, deceptive, or abusive purpose
· To violate intellectual property, privacy, publicity, or other rights
· To submit false account, payment, return, warranty, or identity information
· To interfere with the security or operation of the Services
· To gain unauthorized access to an account, device, network, system, or data
· To distribute malware, automated attacks, spam, or harmful code
· To scrape, harvest, or collect data through unauthorized automated means
· To impersonate another person or misrepresent your affiliation
· To resell products where we have expressly prohibited unauthorized resale
· To assist another person in any prohibited activity
Authorized security research must comply with our Vulnerability Disclosure Policy.
17. Intellectual Property
The Services and their content, including Kiwibit names, logos, product designs, software, interfaces, graphics, photographs, videos, text, documentation, and other materials, are owned by or licensed to Kiwibit and are protected by applicable intellectual property laws.
These Terms do not transfer any ownership rights to you. You may use the Services only for their intended personal and lawful purposes.
You may not reproduce, distribute, modify, publish, sell, create derivative works from, or commercially exploit Kiwibit materials without prior written permission, except where applicable law permits otherwise.
18. Intellectual Property Complaints
If you believe content available through the Services infringes your copyright or other intellectual property rights, please email support@kiwibit.com.
Your notice should include your contact information, identification of the protected work, identification and location of the allegedly infringing material, a description of your rights and the alleged infringement, a statement that the information provided is accurate, and any additional information required by applicable law.
Submitting a false or misleading infringement notice may result in liability.
19. Third-Party Services and Links
The Services may contain links to or integrations with third-party websites, payment providers, carriers, app stores, cloud platforms, analytics providers, or other services.
Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party content or services that we do not control, but this does not exclude responsibility that applicable law places on us.
The Kiwibit online stores may be hosted or supported by Shopify. Purchases from Kiwibit are transactions between you and Kiwibit, not between you and Shopify, except where Shopify separately provides a payment or consumer service under its own terms.

Our collection, use, disclosure, and retention of personal information are described in our Privacy Policy.
Where applicable, you may exercise rights relating to targeted advertising or the sale or sharing of personal information through our Your Privacy Choices page.
Please review these policies before using the Services.
21. Electronic Communications
By using the Services or contacting us electronically, you agree that we may provide order confirmations, shipping notices, security alerts, policy updates, and other transactional communications electronically.
Marketing communications are sent in accordance with applicable law. You may unsubscribe from marketing emails using the link included in the message. Unsubscribing from marketing does not stop transactional or service-related communications.
22. Service Availability and Changes
We may update, modify, suspend, or discontinue a feature or Service where reasonably necessary for security, maintenance, legal compliance, product improvement, or business operations.
We do not guarantee that every Service will always be available, uninterrupted, or error-free.
Where a change materially affects a paid Service or an essential product function, we will provide any notice, remedy, or continued support required by applicable law.
23. Disclaimer of Services
Except for the express promises in our Warranty Policy and any rights or guarantees that cannot lawfully be excluded, the Services are provided on an “as available” basis.
We do not guarantee that websites, apps, cloud services, or network connections will operate without interruption, delay, security incident, incompatibility, or error.
This section does not disclaim warranties relating to Kiwibit products where doing so would conflict with our written limited warranty or applicable law.
24. Limitation of Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence where liability cannot be limited; fraud or fraudulent misrepresentation; willful misconduct or gross negligence where applicable law prohibits limitation; breach of statutory consumer rights; or any other liability that cannot lawfully be excluded or limited.
To the fullest extent permitted by law, Kiwibit will not be liable for indirect, incidental, special, exemplary, or consequential losses that were not reasonably foreseeable when the contract was formed.
For Services provided to a business rather than a consumer, Kiwibit’s total liability arising from the affected order or Service will not exceed the amount paid for that order or Service, unless applicable law requires otherwise.
Consumer liability is not limited where such a limitation would be unfair, unreasonable, or unenforceable under applicable law.
25. Indemnification
If you use the Services for business purposes, you agree to indemnify Kiwibit against third-party claims, losses, and reasonable costs arising from your unlawful use of the Services, infringement of another person’s rights, or material breach of these Terms.
This section does not apply to consumers to the extent that applying it would be unfair or prohibited by law.
26. Suspension and Termination
You may stop using the Services at any time.
We may suspend or terminate access when reasonably necessary because of a material breach of these Terms, unlawful conduct, fraud, security risk, harm to another person, or legal requirement.
Termination does not affect rights and obligations that arose before termination. Provisions that by their nature should continue, including intellectual property, liability, and dispute provisions, will survive.
27. Dispute Resolution
If you have a concern or dispute relating to an order, product, account, or Service, please contact us first at support@kiwibit.com. We will make reasonable efforts to review the matter and work with you toward a resolution.
If a dispute cannot be resolved through customer support, either party may pursue any remedy available under applicable law.
Nothing in these Terms restricts a consumer from contacting a consumer protection authority, using an eligible dispute resolution process, or bringing a claim before a court or tribunal with lawful jurisdiction.
Nothing in these Terms deprives a consumer of any mandatory rights or protections that apply based on the consumer’s place of residence.
28. Changes to These Terms
We may update these Terms to reflect changes to the Services, our business practices, or applicable law.
The updated Terms will be posted on this page with a revised effective date. If a change materially affects your rights or an ongoing paid Service, we will provide additional notice where required by law.
Changes do not retroactively alter an order or dispute that arose before the updated Terms became effective unless applicable law permits and the parties agree.
29. General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Our failure to enforce a provision is not a waiver of our right to enforce it later.
These Terms, together with the policies and notices incorporated by reference, constitute the entire agreement between you and Kiwibit regarding the Services. If a product-specific or promotion-specific term conflicts with these Terms, the more specific term will apply to that product or promotion.
Headings are provided for convenience and do not affect interpretation.
